Section 129(3)

A parent company has to consolidate. Tally and Zoho stop short.

Under Section 129(3) of the Companies Act, a company with subsidiaries, associates or joint ventures prepares consolidated financial statements as well as its own. The consolidated set is filed on AOC-4 CFS within 30 days of the AGM, which is due by 30 September.

As of October 2026, the tools most Indian groups already use don't do the group step. Halfkit does it for subsidiaries: line by line, with eliminations and non-controlling interests.

Schedule III

Division II (Ind AS), for one company or the group.

Halfkit produces the statutory balance sheet and statement of profit and loss under Schedule III, Division II. It suggests a line for each account from the account's type and name; you confirm or change it. Statements carry previous-period comparatives, show in lakhs or crores, and export to Excel.

Ind AS applies to listed companies, unlisted companies with a net worth of ₹250 crore or more, and their group companies.

Division I isn't supported yet. If your companies report under Division I (Indian GAAP), Halfkit can still consolidate them and give you the consolidated P&L and balance sheet, but not the Schedule III Division I format.

Tally & Zoho

Tally companies sync through a small Windows agent on the PC running Tally. Only group names, ledger names, closing balances and open bills leave the PC; no vouchers. Zoho Books connects over OAuth, including organisations in Zoho's India data centre.

Subsidiaries in the US, UK or Singapore can be on QuickBooks Online or Xero. Halfkit translates them into rupees with ECB reference rates, or rates you enter. How each ledger connects.

Does Halfkit produce Schedule III Division I statements?

Not yet. Halfkit's Schedule III statements are Division II (Ind AS) only. Division I companies can still be consolidated, with the usual consolidated P&L and balance sheet, just not in the Division I format.

Can we use the output for AOC-4 CFS?

For Ind AS companies, Halfkit gives you the consolidated Schedule III balance sheet and statement of profit and loss with comparatives, exported to Excel. Notes to the accounts, review and the filing itself stay with you and your auditor.

Do we have to move Tally to the cloud?

No. Tally stays on your PC. The sync agent sends balances and open bills once a day, as a scheduled task or from a tray app.

We're a CA firm. Who pays?

Each client company is billed on its own plan, in rupees through Razorpay or in USD through Stripe. The firm sees one billing summary across all clients.
